The Template Shop Terms of Use

“Template,” “Template(s),” or “Templates” means any item for purchase in the Template Shop, including the contract templates, letter templates, e-mail templates, and contract clause templates.
“We,” “Us,” and “Company” refers to Dean Legal Solutions, PLLC.
“You” and “Your” refers to the purchaser of the Template(s), whether an individual or business entity.
By purchasing and/or downloading a Template, You agree to the Terms of Use.
Collectively, Dean Legal Solutions, PLLC and the purchaser of the Template(s) may be referred to as “Parties” for purposes of the Terms of Use.
United States Only. The Templates are intended for purchase for the United States only.
Read and Revise Fully. It is Your responsibility to read and revise all contracts fully to ensure the terms are finalized to best suit your situation. Dean Legal Solutions, PLLC does not represent You and does not know the specific circumstances and facts of Your situation.

The Templates are provided for general informational and educational purposes only and does not constitute legal advice or create an attorney-client relationship with You. LEGAL ETHICS AND RESPONSIBILITIES PROHIBIT DEAN LEGAL SOLUTIONS, PLLC FROM HELPING YOU PERSONALLY MODIFY ANY SPECIFIC SECTION. IF YOU INQUIRE ABOUT HELPING WITH MODIFICATIONS OR CHANGES TO YOUR TEMPLATE CONTRACTS AND/OR DOCUMENTS, WE WILL NOT BE ABLE TO ASSIST YOU UNLESS YOU SEPARATELY REQUEST LEGAL SERVICES. IF YOU DECIDE TO REQUEST LEGAL SERVICES FROM DEAN LEGAL SOLUTIONS, PLLC AFTER PURCHASE OF A TEMPLATE, WE WILL PERFORM A CONFLICTS CHECK AND ADVISE AT OUR DISCRETION WHETHER AN ATTORNEY-CLIENT RELATIONSHIP CAN BE CREATED. UNLESS AND UNTIL DEAN LEGAL SOLUTIONS, PLLC AGREES TO FORM AN ATTORNEY-CLIENT RELATIONSHIP WITH YOU IN WRITING, THERE IS NONE.
No Warranties. We do not warrant the accuracy, completeness, or usefulness of the information in the Templates. Any reliance you place on such information is strictly at your own risk. Neither the Company nor any person associated with the Company makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy or availability of the Content or that the Content will otherwise meet your needs or expectations. TEMPLATES ARE PROVIDED “AS IS”. THE COMPANY OFFERS NO WARRANTY, EXPLICIT OR IMPLIED, REGARDING ANY LEGAL FORMS OR TEMPLATES, THE ACCURACY OF ANY INFORMATION, OR ANY RIGHTS OR LICENSES UNDER THIS TERMS OF USE INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. OBTAINING MATERIALS AVAILABLE THROUGH THESE SITES IS DONE AT YOUR OWN DISCRETION AND AT YOUR OWN RISK. THE COMPANY MAKES NO WARRANTY THAT THE TEMPLATES WILL BE ACCURATE AND RELIABLE IN ALL INSTANCES.
Errors and Omissions. Our Templates may at times contain minor errors and/or omissions. Company shall be held harmless for such errors and omissions, and any inadvertent omission or error and Company shall not incur liability or damages. You are required to report any errors or omissions within the Templates as soon as practicable to Us, and any reported errors or omissions will be rectified as soon as possible after discovery.
Copyright Ownership and Enforcement for Infringement. Copyright ownership is retained with Dean Legal Solutions, PLLC. All rights reserved. Any infringements of the copyright will be dealt with to the fullest extent of the law, up and until legal action for statutory damages in the highest amount provided by 17 U.S. Code § 504. Dean Legal Solutions, PLLC reserves the right to attempt resolution of copyright infringement prior to taking legal action by informal settlement and it will not be considered a waiver of the right to sue for copyright infringement.
Infringement is considered any use of the Template without the permission of the copyright owner. AS A PURCHASER OF THE TEMPLATE, YOU ARE GRANTED A NON-TRANSFERABLE LICENSE TO USE THE TEMPLATE. This license does not allow you to share the Template with anyone else whether or not you charge for sharing the Template. In no way does this license allow for commercial use or dissemination of the Template.
Any prohibited sharing of the Template with a third party constitutes a violation of the Terms of Use.
License to Use the Template(s). As long as You comply with this Terms of Use, Dean Legal Solutions, PLLC grants You a ONE revocable, worldwide, non-exclusive, non-transferable license to download, view, edit, copy and print the Template(s) You purchase solely for Your individual use with respect to Your business clients or similar business use, and which is not to include any reproduction, copying, or any other use of the Template(s) for resale or distribution (“Permitted Use”), provided that You: (1) abide by all copyright protections afforded to the Template(s), both as formally registered with the U.S. Copyright Office and as otherwise provided by law; (2) abide by all trademark protections afforded to the Template(s), both as formally registered with the U.S. Patent and Trademark Office, a state trademark authority, or as otherwise provided by common law; and (3) do not use the Template(s) or otherwise offer them on any other website or link them on your website for the public to view, through a networked computer environment, or otherwise offer them for distribution or sale or in any manner inconsistent with Permitted Use as provided by these Terms.
If You violate this license by giving or selling a copy of our Template(s) to any third party, We reserve the right to invoice You for the licenses you have gifted to others, revoke Your access to our Template(s) permanently, and/or sue for any and all damages.
Such permission to modify Template(s) consistent with Permitted Use in no way expands the limited license provided herein, nor does grant You intellectual property ownership in, or provide a general right to modification of, the Template(s).
Governing Law. This Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida without giving effect to any choice or conflict of law rules.
Dispute Resolution and Choice of Law. Any controversy or claim arising out of or relating to this Terms of Use, or the breach thereof, including the applicability and/or enforceability of this Terms of Use, Florida law shall apply. In the event of any dispute, claim, questions, or disagreement arising from or relating to these Terms of Use or the breach thereof, the Parties shall use as the sole and exclusive dispute resolution process available under this Terms of Use, the following procedures: Prior to initiating any other action, the Parties shall first use their best efforts to settle the dispute, claim, question, or disagreement amicably. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both Parties. Any and all disputes or disagreements rising between the Parties out of this Terms of Use upon which an amicable understanding cannot be reached, shall be decided by arbitration in accordance with the procedural rules of the American Arbitration Association. The Parties agree to be bound by the decision of the arbitrator(s). The arbitration proceeding shall take place in Seminole County, Florida, unless another location is mutually agreed to by the Parties. The cost and expenses of the arbitrators shall be shared equally by the Parties. Each party shall be responsible for its own costs and expenses in presenting the dispute for arbitration.
Limitation on Liability. You understand and agree that, to the maximum extent permitted by applicable law, the Company will not be liable for any direct, indirect or consequential loss or damage incurred by you or others in connection with the Templates, including without limitation any liability for any loss of revenue; loss of actual or anticipated profits; loss of contracts; loss of business; loss of opportunity; loss of goodwill; loss of reputation; loss of contracts; damage to or corruption of data; or any indirect or consequential loss, whether such loss or damage was foreseeable or in the contemplation of the parties, whether caused by negligence, breach of contract or otherwise. The foregoing does not affect any liability that cannot be excluded or limited under applicable law.
Maximum Damages. The sole remedy for any actions or claims shall be limited to and shall not exceed the total monies paid by You for the Template purchased under this Terms of Use from Company.
Indemnity and Release. You agree to indemnify, defend and hold harmless Company, its affiliates, employees, agents, licensors, and service providers from and against any and all third-party suits, claims, demands, causes of action, liabilities, damages, judgments, losses, costs and expenses, including reasonable legal expenses and attorney’s fees arising out of your use of the Templates.
Severability. If any portion of this Terms of Use is deemed to be illegal or unenforceable, the remaining provisions of this Terms of Use remain in full force.
No Waiver. Any failure by one or both Parties to enforce a provision of these Terms shall not constitute a waiver of any other portion or provision of these Terms.
Promotions. We may offer promotions and/or bonuses to potential customers from time-to-time via marketing and advertising. You are entitled to the promotions/bonuses offered at the time of purchase. Promotions/bonuses are not guaranteed to be available when You make a purchase and they vary depending on live and automated promotions throughout the year. You understand and agree that promotions/bonuses are not retroactive or proactive. Company reserves the right to change or alter bonuses and promotions in its sole discretion.
Entire Agreement. This Terms of Use is binding and incorporates the entire understanding of the Parties, supersedes any other written or oral agreements between the Parties.
